Investor Representatives

For all interested parties, if you do not intend to purchase our securities for your own account, and you are acting on behalf of another person or entity, for purposes of federal and state securities law, you are defined as an Investor Representative. To maintain our securities exemption, prior to issuing our offering materials we require all Investor Representatives to complete an Investor Representative Statement.

This statement discloses certain information that establishes that you have sufficient knowledge and experience in financial matters to demonstrate that you are capable of evaluating the merits and risks of your client's prospective investment in the Partnership.

By completing the Statement you are attesting that you understand that the Partnership will rely on the accuracy and completeness of your responses to the questions and you represent and warrant to the Partnership the following:

• You are acting as an Investor Representative for the Investor in connection with the Investor's prospective investment in the Partnership;
• Neither you nor any of your affiliates have any material relationship with SUPREME HOTEL PARTNERS, LP I or any of its affiliates, and no such material relationship is mutually understood to be contemplated;
• You are not an affiliate, director, officer or other employee of the Partnership or beneficial owner of 10% or more of any class of equity securities of the Partnership.
• The answers to the questions are complete and correct, and may be relied upon by the Partnership in determining whether the offering for which you have executed this questionnaire is exempt from registration under the Securities Act of 1933, pursuant to Section 4(2), or otherwise;   and
• You will notify the Partnership immediately of any material change in any statement made herein occurring prior to the closing of any purchase by the Investor of an interest in the proposed investment.
